Terms and Conditions for Use of Online Curriculum

Effective Date:

This agreement (“Agreement”) is made between Corgi English School (“Provider”) and the individual or entity (“Teacher”) who uses the online curriculum (“Curriculum”) provided by the Provider.

By using the Curriculum, the Teacher agrees to the following terms:


1. License and Permitted Use

1.1. License Grant:
The Provider grants the Teacher a limited, non-exclusive, non-transferable license to access and use the Curriculum for the purpose of conducting online ESL classes.

1.2. Restrictions:
The Teacher shall not:

  • Copy, distribute, modify, or create derivative works from the Curriculum without prior written consent from the Provider.
  • Share access to the Curriculum with unauthorized individuals or entities.
  • Use the Curriculum in any manner that infringes upon the intellectual property rights of third parties, including publishers of referenced textbooks.

2. Copyright Compliance

2.1. Textbook Ownership:
The Curriculum is designed as a supplement to widely available textbooks published by third parties, including but not limited to Oxford and Cambridge. To comply with copyright laws:

  • The Teacher must purchase a physical or legally licensed digital copy of the required textbooks for their own use.
  • The Teacher must ensure that each student also purchases a physical or legally licensed digital copy of the required textbooks.

2.2. Prohibited Actions:
The Teacher agrees not to:

  • Use the Curriculum in classes where the required textbook has not been lawfully purchased by the Teacher and/or students.
  • Reproduce or distribute any part of the textbooks in any format as part of the online lessons.

3. Intellectual Property

3.1. Ownership:
The Curriculum, including all associated materials, content, and tools, is the exclusive property of the Provider. All intellectual property rights are reserved.

3.2. Acknowledgment:
The Curriculum includes original adaptations of textbook lessons into interactive online formats. These adaptations are the intellectual property of the Provider and are protected under applicable copyright and intellectual property laws.


4. Representations and Warranties

4.1. Compliance with Laws:
The Teacher represents and warrants that they will use the Curriculum in compliance with all applicable copyright laws and regulations.

4.2. Indemnification:
The Teacher agrees to indemnify, defend, and hold the Provider harmless from any claims, liabilities, or damages arising from the Teacher’s failure to comply with copyright laws or the terms of this Agreement.


5. Limitation of Liability

The Provider makes no representations or warranties regarding the legality of using the Curriculum in jurisdictions outside [Your Country]. The Teacher assumes all responsibility for ensuring compliance with local laws.


6. Termination

6.1. Termination by Provider:
The Provider reserves the right to terminate access to the Curriculum immediately and without notice if the Teacher breaches this Agreement.

6.2. Effect of Termination:
Upon termination, the Teacher must cease all use of the Curriculum and destroy any copies of materials derived from it.


7. Miscellaneous

7.1. Governing Law:
This Agreement shall be governed by the laws of [Your Country/State].

7.2. Amendments:
The Provider reserves the right to update these terms at any time. Teachers will be notified of significant changes via email or website updates.

7.3. Entire Agreement:
This Agreement constitutes the entire understanding between the parties regarding the use of the Curriculum and supersedes all prior agreements.


By using the Curriculum, the Teacher acknowledges that they have read, understood, and agree to these terms.
